Terms and Conditions

General terms and conditions of service

I. Object

  1. These Terms and Conditions of Service (hereafter abbreviated to TCS) apply to all services that are provided by Harpoon, Unipessoal Lda., a Portuguese company, established at Rua Serpa Pinto, Nº 15 – 5º Dtº 1200-443 Lisboa, (hereafter designated solely as Harpoon) be it through its web platform www.harpoon.jobs, or through any other mobile applications.
  2. For the purposes of the present TCS, the terms or expressions indicated below have the following meaning.
    1. Harpoon platform – Online platform available via the website www.harpoon.jobs, or through any other mobile applications. It is an exclusive property of Harpoon, which allows its Users to obtain an online recruitment service, enabling :
      Candidates who validly sign up to the platform to have access to the best job offers, especially directed to their qualifications and professional aspirations, in the best companies registered in the platform and operating in the market.
      Companies who validly sign up to the platform to obtain Candidates who have an adequate professional profile for the position they wish to fill in their company.
    2. User — Any person, individual or legal, who uses the Harpoon platform and seeks to benefit from the offer of its specialized recruitment services. Platform Users can be Candidates, Companies or Affiliates.
    3. Candidates — Any person of legal age who uses the Harpoon platform in order to get the most suitable job offers to his/her professional expectations and motivations.
    4. Companies — Any legal person who uses the Harpoon platform in order to obtain Candidates who have an adequate professional profile for the position they wish to fill in their company.
    5. Affiliates — Any natural person who is registered on the Harpoon platform as a Candidate and recommends the platform to any User.
    6. Registration form — A form available on the Harpoon platform for entering the data needed to create the Harpoon account.
    7. Harpoon Account — Online recording of registered Users’ information on the Harpoon platform.
    8. Validation Process – Internal process conducted by Harpoon, which will evaluate and determine whether a Candidate is or is not accepted by Harpoon.
    9. Match — Automatic verification process, carried out by using Harpoon’s algorithm software, which determines the existence of an adequate link between a certain Candidate and an existing job offer on the Harpoon platform.
    10. Chat — Existing functionality on the Harpoon platform which, after acceptance of the Match by the Candidate and the Company, allows the Candidate and the Company to exchange messages and mutually assess if they wish to go forward to a possible interview or hire.
  3. The Harpoon platform, available through www.harpoon.jobs, an exclusive property of Harpoon, Unipessoal Lda., makes a free service of online recruitment available to the Candidate, allowing Candidates who validly sign up to the platform access to the best job offers, especially directed to their qualifications and professional aspirations, in the best companies registered in the platform and operating in the market.
  4. The Harpoon platform is specifically aimed at recruiting talents by putting them in contact with the best existing job offers, offered by the leading companies in the market.
  5. The use of the Harpoon platform is completely free to the Candidate.
  6. In the case of companies wishing to recruit through the Harpoon platform, the contracting of the service may be done through an autonomous document, to be signed by Harpoon, Unipessoal Lda., and each Company, without any loss to what is provided in the TCS applicable to Companies.
  7. By signing up to the platform, Users explicitly and without any reservation accept the General and Specific Terms of Service.
  8. A Harpoon platform User who does not agree with the General and Specific Terms of Service must immediately suspend the use of the platform, not use Harpoon’s services and send an email to support@harpoon.jobs, explicitly requesting the cancellation of his/her Harpoon account.
  9. The present General and Specific Terms of Service revoke any prior agreement, communication, or understanding that may have taken place between the parties prior to the subscription of the services.

II. Eligibility and Access

  1. Only Candidates who are of legal age and who explicitly agree to the present TCS and the platform’s Privacy Policy may register on the Candidates platform.
  2. If the Candidate does not accept the present TCS and Privacy Policy, they must immediately leave the Harpoon platform.
  3. The effective use of the Harpoon platform is considered as an acceptance of the Terms and General Conditions of Service, the Specific Terms of Service, and the platform’s Privacy Policy.
  4. All Users should carefully read these General Terms of Service, our platform’s Privacy Policy, and the Specific Terms and Conditions of Service, being allowed to save or print them, if they so wish.
  5. Registration of Candidates is done by completing a registration form available on the Harpoon platform.
  6. In this application form (the JOIN field), the Candidate will be asked to validly provide the following information: name, email address, professional title, company where they are currently working at, LinkedIn profile identification.
  7. For his/her registration to be considered valid, the Candidate must also answer truthfully and succinctly to three questions:
    1. Short biography of the Candidate;
    2. Description of the professionals goals they are most proud of;
    3. Description of what motivates the Candidate.
  8. The data provided will be a part of the Candidate’s database, and they may use them according to what is described in the Privacy Policy.
  9. By signing up to the Harpoon platform, and by providing the data requested for registration, the Candidate states that the data provided is true and correspond to the truth of his/her professional curriculum, corresponding academic qualifications and professional experience.
  10. If the Candidate provides wrong, incorrect or untrue data, Harpoon reserves the right to immediately remove the Candidate from the Harpoon platform, without any prior notice, and also reserves the right of being able to require that they assume all liabilities that may arise from false statements made when signing up to the platform, and can trigger the legal means to canvass the civil and criminal liability that may exist.

III. Registration Cancellation

  1. The relationship established between Harpoon and the Candidates will be of indefinite duration.
  2. Notwithstanding the foregoing, a Candidate’s account may be freely canceled by them at any time.
  3. To do so, the Candidate must send an email to support@harpoon.jobs, explicitly requesting the cancellation of his/her Harpoon account.
  4. Upon completion of the cancellation process, an email will be sent confirming the cancellation of the Candidate’s account, the point at which the holder loses all rights conferred by the present General and Specific Terms and Conditions of Service.

IV. Intellectual and Industrial Property Rights

  1. Any User of the platform, be them a Candidate or a Company, expressly acknowledges that all available content on the site belongs to Harpoon, Unipessoal Lda., or its partners and/or affiliates.
  2. The User acknowledges that “Harpoon.jobs” is a registered trademark and an exclusive property of Harpoon, Unipessoal Lda.. Third parties are expressly prohibited to use, reproduce, steal, or give it any other kind of use that is unauthorized by its holder.
  3. The entire Harpoon platform (text, images, brands, graphics, logos, buttons, software files, color combinations, structure, selection, arrangement and presentation of content codes, source and object) are the exclusive property of Harpoon, Unipessoal Lda., or others identified on the website. Its reproduction, distribution and/or public communication is completely prohibited, except for private and personal use.
  4. Users are expressly forbidden to access the Harpoon platform through modified forms of software, including for the purpose of obtaining unauthorized access.
  5. The domain name www.harpoon.jobs is an exclusive property of Harpoon, Unipessoal Lda., and its use by any other person, natural or legal, is prohibited.
  6. The improper and unauthorized use of the domain name referred to above constitutes a serious infringement of the rights of the person responsible for the platform, and will motivate the initiation of legal proceedings against offenders.

V. Personal Data

  1. The data provided by Users (Candidates or Companies) through the platform will be included in an automated database. Its controller is Harpoon, Unipessoal Lda.
  2. All Users who sign up to the platform expressly authorize that their personal details are treated by Harpoon, Unipessoal Lda., who in turn only uses them for the purposes identified in these General and Specific Terms and Conditions.
  3. Users who sign up to the platform ensure that the transmitted personal data is true and accurate.
  4. The collection and retention of personal data by Harpoon, Unipessoal Lda. is subject to the provisions of personal data protection legislation, including Law No. 67/98 of 26 October, who in turn may subcontract other entities to treat personal data.
  5. The processing of personal data by Harpoon Lda. is carried out with due compliance for the legality, loyalty and transparency obligations set forth in the General Regulation on Data Protection of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (“GDPR”).
  6. Without prejudice to the provisions of this clause, the data provided shall be processed in accordance with the provisions of the Platform Privacy Policy and the provisions of the General Regulation on Data Protection of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 of April 2016 (“GDPR”).

VI. Responsibility

  1. Harpoon, Unipessoal Lda. assumes no responsibility for any loss or sending of damaged, incomplete or incorrect data due to email problems and/or the malfunction of the platform.
  2. Harpoon, Unipessoal Lda. reserves the right to cancel the registration of any User whenever there is suspicion of incorrect or improper handling of personal data, or whenever a complaint that proves the violation of a third party’s legitimate rights is properly displayed.
  3. Harpoon, Unipessoal Lda. cannot be held responsible for any technical failure or malfunction of any telephone lines or networks, online computer systems, servers or providers, IT equipment, software, failure of email service or content readers because of technical problems or traffic congestion on the Internet or on a website, or a combination of both, including injury or damage to a Candidate’s, any other person’s, or a company’s computer.
  4. Harpoon, Unipessoal Lda. reserves the right to suspend, deny or terminate its service with any User whenever it unilaterally considers that the User uses or plans to use the platform in an illegal, abusive or non-authorized way that is not permitted under these General Terms and Conditions, or if the use or the User’s intention to create, or potential to create, has an adverse impact to other platform users.
  5. In no event shall Harpoon, Unipessoal Lda. be liable for its Users’ or any other entity’s direct, indirect, incidental or consequential damages, whether arising out of contract, warranty, or tort (including negligence or strict liability) or any other liability.

VII. Waiver

  1. To the extent permitted by the applicable laws, the services provided by the Harpoon platform are provided “as is” and as they are available. Harpoon, Unipessoal Lda. expressly rejects all warranties and conditions of any kind, expressed or implied, including but not limited to, the warranties or conditions of exploitation, fitness for a particular purpose, rights, private use, accuracy or non-infringement.
  2. Similarly, Harpoon, Unipessoal Lda. does not guarantee or promise:
    1. Specific results from the use of the platform;
    2. That the services will meet your requirements;
    3. That the services will be available uninterruptedly, timely or error free; or
    4. That the results that can be obtained by the use of the platform are accurate.
  3. Harpoon, Unipessoal Lda. assumes no obligation of supervising the activities on the platform.

VIII. Change of General Conditions

  1. Harpoon can modify these General Terms of Use at any time. To do so, it must (i) publish a revised version of this document on its platform and/or (ii) send information to its Users about the new Terms and Conditions. It is the Users’ responsibility to regularly consult and maintain their account’s email address, that of which Harpoon, Unipessoal Lda. will use to contact them.
  2. The revised General Terms and Conditions are considered accepted by its Users if they continue to use the platform after the publication and/or communication of the new General Terms and Conditions of Use.

IX. Other Pages

  1. The supply of links to any other page or location on the Internet is for the convenience of the Users and does not imply Harpoon, Unipessoal Lda.’s approval of this page, location or its contents. Harpoon, Unipessoal Lda. does not control, review, and cannot be responsible for these outside websites or their content.
  2. These Terms and Conditions and our Privacy Policy do not apply to these outside websites.

XI. General Dispositions

  1. This agreement brings together all written and oral communications and defines the entire agreement between the parties relating to the Harpoon, Unipessoal Lda. platform.
  2. Should any part of this agreement be considered unlawful, void, or ineffective of being understood, the remaining portions must remain in full force and effect. The unlawful, void or ineffective provision must be understood as nearly as possible to reflect the parties’ intentions.
  3. All notifications under this agreement must be in writing and delivered by email.
  4. The General and Specific Terms of Service, as well as the relations established between Harpoon, Unipessoal Lda. and its Users are governed by the Portuguese law in force.
  5. Any dispute arising between the Harpoon and the Users of the platform will be referred to the courts of the District of Lisbon, expressly waiving any other jurisdiction that may correspond to them.

Specific terms and conditions of service – candidates

I. Object

The present document establishes the Specific Terms and Conditions of Service (hereafter abbreviated to STCS), which regulate the hiring services offered to Candidates through the www.harpoon.jobs website — an exclusive property of Harpoon, Unipessoal Lda., a Portuguese company, with the Corporate Tax Identification n.º 513.608.095, with headquarters located at Rua Serpa Pinto, Nº 15, 5º Dto, 1200 — 443 Lisboa, hereafter designated solely as Harpoon.

II. Services Provided

  1. Harpoon, through its Harpoon platform specialized in recruiting middle and senior company executives, aims to make the recruitment process faster and more efficient, for Candidates and Companies.
  2. Through the existing algorithm in its software, the Harpoon platform allows each Candidate to only receive job offers that best fit his/her qualifications and professional expectations.
  3. Thus, Harpoon will be responsible for providing the following services to Candidates who validly sign up to the Harpoon platform:
    1. Provide access to the Harpoon platform interface;
    2. Ensure the integrity and smooth functioning of the Harpoon platform;
    3. Ensure that the Candidate will only receive the most suitable existing job offers on the Harpoon platform.

III. Candidate Registration

  1. Each and every Candidate who wants to sign up to the Harpoon platform must necessarily complete the online registration form, providing valid registration details, accept the General and Specific Terms and Conditions of Service and its Privacy Policy, and comply with all formalities and procedures communicated by the Harpoon platform.
  2. If any User or Professional does not comply with the procedures described above, it will not be possible to sign up to the Harpoon platform, nor benefit from Harpoon’s services.
  3. If Harpoon deems a profile inadequate to be part of the platform, it reserves the right of not accepting a Candidate.

IV. Hiring

A. Registration
  1. To hire the services offered by the Harpoon platform, the Candidate will have to previously sign up on the www.harpoon.jobs website.
  2. To do so, the Candidate must access the “Join” link, available on said website, and should fill out the registration form with all requested data, and follow the instructions.
  3. For the correct and complete filling out of the Harpoon platform’s registration form, the Candidate must provide the following information: name, email address, professional title, company where he/she currently works at, LinkedIn profile identification.
  4. For the registration to be considered valid, the Candidate must also answer truthfully and succinctly to three questions:
    1. Short biography of the Candidate;
    2. Description of the professionals goals he/she is the most proud of;
    3. Description of the goals the Candidate wishes to achieve.
  5. Harpoon does not guarantee or assume any responsibility for the accuracy of the data that is filled out by candidates. They are solely responsible for the veracity and accuracy of any information or data that is provided.
  6. Once the information is submitted through the platform, Harpoon will make a Candidate’s curriculum and answers validation process and assess if it meets the necessary conditions to join the Harpoon platform.
  7. If the Harpoon team perceives that the Candidate does not meet the requirements to be a Harpoon Candidate, he/she will receive an email to report the refusal of his/her registration on the platform.
  8. If Harpoon internally validates the registration of the Candidate, he/she will receive an activation email to his/her Harpoon account, which is automatically sent to the email address he/she provides when completing the form. The User’s account will only be active when using the activation link provided in this email.
  9. After registration and activation of his/her account, the Candidate can log in to the Harpoon platform website by entering his/her email and entering the respective access password. The website access password is intransmissible, not being allowed, in any circumstance, its transmission or transfer to third parties. The Candidate accepts and acknowledges that he/she is solely responsible for the use and safety of his/her password. Harpoon is not responsible for the use of the account by third parties or by their unlawful usurpation by third parties.
B. Use
  1. From the moment the online account is active, the Harpoon platform enables the Candidate to receive job offers especially directed to his/her professional qualifications, to his/her profile and to his/her professional expectations.
  2. Whenever the Harpoon platform identifies a particular job offer as suitable for the Candidate, he/she will get an email notification stating the existence of a “Match”.
  3. Whenever there is a “Match”, the Candidate will have access to concrete information about the job offer identified by the platform, and may decide whether to accept the job offer or not.
  4. The acceptance or rejection of the offer is made through the Candidate’s personal page on the Harpoon platform.
  5. In case he/she refuses the proposal, the Candidate will not receive any further information about it, and the process will terminate at that time.
  6. Whenever there is a “Match”, and the Candidate and the Company expressly accept it, the Company will have access to the Candidate’s profile, without her/his identity being revealed.
  7. In the case referred to above, Candidate and Company may also exchange messages, deepen mutual understanding, and determine whether or not to share their contacts and formalize a possible hiring.
  8. Harpoon’s intervention ends with the hiring of the Candidate by the Company, or after both parties desist from contracting after the “Chatting” phase.

V. Disclaimer

  1. The Candidate acknowledges and agrees that Harpoon does not guarantee or assume any responsibility for the concrete and effective existence of a “Match”, and does not guarantee a hire.
  2. Harpoon merely aims to turn recruitment into a more efficient process, and for this purpose provides access to an online platform that allows Candidates and Companies to find job offers and Candidates that best fit each other. It does not guarantee or assume any responsibility in hiring workers or employees. It does not guarantee the hiring of its Users, Candidates or Companies.

VI. Cost

  1. Signing up to the Harpoon platform is completely free for Candidates.
  2. If the Candidate is successfully hired through the Harpoon platform, he/she will be entitled to a 250€ (two hundred and fifty euros) prize, which may be attributed in-kind by Harpoon, in the terms and conditions that will freely and unilaterally be defined by Harpoon.

VII. Affiliates

  1. Affiliates who validly recommend any third party that may sign up to the Harpoon platform, and who subsequently gets hired through the Harpoon platform, will be respectively awarded by Harpoon.
  2. Having regard to the previous paragraph, prizes awarded to Affiliates will be 250€ (two hundred and fifty euros), which may be attributed in-kind by Harpoon, in the terms and conditions that will freely and unilaterally be defined by Harpoon.

VIII. Duration

  1. The relationship established between Harpoon and the Candidates has an indefinite duration.
  2. Notwithstanding the foregoing, a Candidate’s account may be freely canceled by them at any time.
  3. To do so, the Candidate must send an email to support@harpoon.jobs explicitly requesting the cancellation of his/her Harpoon account.
  4. Upon completion of the cancellation process, an email confirming the cancellation of the Candidate’s account will be sent, at which point the holder loses all rights conferred by the present STCS.

IX. Code of conduct

  1. All Candidates are required to comply with the following code of conduct:
    1. All Candidates declare, under their sole responsibility, that they will act in compliance with applicable standards, in a responsible, respectful, and diligent way, and in good faith.
    2. All Candidates are committed under their sole responsibility to submit complete, accurate and truthful information about their identity, literary skills, and professional experience.
  2. The following Candidate conduct is expressly prohibited:
    1. Creating false identities, acting on behalf of third parties without legitimacy, impersonating another entity and/or stealing the identity of others.
    2. Providing false data. All offered and supplied data must be completely accurate and true.
    3. Prevaricating, falsifying documents and/or signatures, infringing laws, regulations or any applicable regulations.
    4. Signing up and using the Harpoon platform on behalf of an entity or person without being duly authorized to that effect.
    5. Manipulating and/or altering Harpoon’s platform tools.
    6. Not respecting the rules and predetermined processes to access and use the Harpoon platform, and using methods that may cause damage to the platform and/or third party systems.
    7. Using the Harpoon platform and/or received informations from Companies or Candidates for purposes other than those provided in these STCS.
    8. Sending unsolicited advertising.
    9. Transmitting any information or marketing any material, product or service of illegal, injurious, defamatory, harmful, vulgar, obscene or considered objectionable nature through the Harpoon platform.

X. Intellectual Property and Copyright

  1. Candidates who sign up to the Harpoon platform expressly acknowledge and accept that Harpoon is the exclusive owner of all intellectual property rights relating to the Harpoon platform’s software, including images, videos, graphics, and all elements of the Harpoon platform, and do not acquire any right over them by registering on the platform or arising from its use.
  2. Users registered on the Harpoon platform recognize and accept that Harpoon is the exclusive owner of all rights and titles relating to the Harpoon trademarks, not acquiring any rights on them by registering on the platform or arising from its use.

XI. Condition Changes

  1. Harpoon reserves the right to modify at any time, without prior notice, the presentation, the layout and/or the content of the Harpoon platform, as well as the wording of the General Terms and Conditions of Service, the Specific Conditions of Contracting of Services, and its Privacy Policy.
  2. In this event, Harpoon will provide all documents on its platform, containing their updated versions. They will be visible and available for online consultation.
  3. Users should carefully read these documents when accessing the Harpoon platform, and should consult them frequently.
  4. Reading and prior acceptance of the Specific Conditions of Contracting, General Terms and Conditions of Service, and Privacy Policy are essential for registering and subscribing to any services available on the Harpoon platform.

XII. Integrity

  1. The present STCS replace any other agreements or contracts, written or oral, that both parties might have made before and/or during the due course of the project.
  2. Any changes to the present STCS will have to be made by mutual written agreement between Harpoon and its Users.

XIII. Transfer of Rights and Subcontracting Obligations

  1. Users cannot assign and/or transfer the rights and obligations of the present STCS.
  2. Harpoon reserves the right of being able to assign and/or freely transfer, at any time and without authorization of its Users and/or professionals, the rights and obligations contained in the present STCS.
  3. Harpoon also reserves the right of being able to subcontract other individual or legal persons in order to fulfill their obligations under the present STCS.

XIV. Communications

  1. All communications between Harpoon and Candidates regarding the present STCS and/or joining the Harpoon platform, must be made in writing and in accordance with the notification procedures set out in these STCS.
  2. For all other cases not expressly covered in the STCS, all written communications should be sent via by email to the following email address: support@harpoon.jobs.

XV. Final Dispositions

  1. Partial Invalidity. If any clause of the present STCS is to be found invalid or revocable in its entirety or in part, or impossible to comply by law or by a third party conduct, the rest will remain in force.
  2. Failure to Exercise Rights. The failure to exercise, or late or partial exercise, of any right that assists Harpoon under the present STCS, no matter the resignation of that right and does not prevent its subsequent exercise.

XVI. Law and Jurisdiction

  1. Harpoon, as well as the Candidates, will make their best efforts to find an amicable resolution regarding any doubt or dispute arising in connection with the implementation of the present STCS.
  2. If it is not possible to reach an amicable settlement of the conflict in accordance with the preceding paragraph, the questions concerning the interpretation, validity, execution or termination of the Agreement shall be decided by the District Court of Lisbon, with expressed waiver of any other.

Specific terms and conditions of service – companies

I. Object

  1. The present document establishes the Specific Terms and Conditions of Service (hereafter abbreviated to STCS), which regulate the hiring services offered to Companies through the www.harpoon.jobs website — an exclusive property of Harpoon, Unipessoal Lda., a Portuguese company, with the Corporate Tax Identification n.º 513.608.095, with headquarters located at Rua Serpa Pinto, Nº 15, 5º Dto, 1200 — 443 Lisboa, hereafter designated solely as Harpoon.
  2. Regarding Companies, the person who signs up to the Harpoon platform assumes all responsibility for the previously mentioned hiring, and expressly accepts and acknowledges he/she has all the powers of representation necessary to oblige and bind the said legal person. Should it be determined that the person who registered the legal person on the Harpoon platform did not have the necessary representation and binding powers, then the hiring of services will, for all intents and purposes, be considered hired by a natural person who will assume all the rights and obligations under the present STCS.

II. Services Provided

  1. Harpoon, through its Harpoon platform, aims to make the recruitment process faster and more efficient, and specializes in recruiting middle and senior company executives, and seeks to make talent hiring easier and more efficient, be it for Candidates or Companies.
  2. Through the existing algorithm in its software, the Harpoon platform allows the Company to receive the supply of Candidates that best fit their specific hiring needs.
  3. Thus, Harpoon will be responsible for providing the following services to Companies who validly sign up to the Harpoon platform:
    1. Provide access to the Harpoon platform interface;
    2. Ensure the integrity and smooth functioning of the Harpoon platform;
    3. Ensure that the Company only receives the curriculums of existing Harpoon platform Candidates, and the ones that are most suitable to the Company’s needs.

III. Hiring

A. Registration
  1. To hire the services offered by the Harpoon platform, the Company will have to previously sign up on the www.harpoon.jobs website.
  2. To do so, the Company must access the “Join” link, available on said website, and should fill out the registration form with all requested data, and follow the instructions.
  3. For the correct and complete filling out of the Harpoon platform’s registration form, the Company commits to provide all data that may be requested by Harpoon.
  4. Once the information is submitted through the platform, Harpoon will go through a Company validation process and assess if it meets the necessary conditions to join the Harpoon Platform.
  5. If the Harpoon team considers that the Company does not fulfill the conditions required to be a Harpoon Company, the latter will receive an email reporting the refusal of its registration on the platform.
  6. If Harpoon internally validates the registration of the Company, the latter will receive an activation email of its Harpoon account, which will automatically be sent to the email address provided when completing the form. The User’s account will only be active after using the activation link provided in this email.
  7. After registration and activation of their account, the Company can log in to the Harpoon platform website by entering their email and entering the respective access password. The website access password is intransmissible, not being allowed, in any circumstance, its transmission or transfer to third parties. The Company accepts and acknowledges that it is solely responsible for the use and safety of their password.
  8. Harpoon is not responsible for the use of the account by third parties or by their unlawful usurpation by third parties.
B. Use
  1. From the moment the online account is active, the Harpoon platform enables the Company to receive registered Users’ profiles, especially targeted and previously selected through its algorithm for a particular job offer that has been placed by the Company on the platform.
  2. Whenever the Harpoon platform identifies a particular Candidate as suitable for the job offer placed by the Company, the latter will get an email notification stating the existence of a “Match”.
  3. Whenever there is a “Match”, and the Candidate and the Company expressly accept it, the Company will have access to the Candidate’s profile, without his/her identity being revealed.
  4. In the case referred to above, Candidate and Company may also exchange messages, deepen mutual understanding, and determine whether or not to share their contacts and formalize a possible hiring.
  5. Harpoon’s intervention ends with the hiring of the Candidate by the Company, or whenever Company or Candidate desists from contracting after the “Chatting” phase.
  6. The Company undertakes to inform Harpoon of any hire that may be realized or achieved through the Harpoon platform, and confirms in writing whether the candidate remained in the company after a period of 30 days after hiring. Failure to comply with these obligations involve the payment of an amount of no less than of 10% Annual Gross Salary (base + variable) of the chosen candidate, with a minimum of € 4,500.00 (four thousand and five hundred euros) by the Company for breach of the Specific Terms and Conditions of Contracting.
  7. Whenever exist a match between the Candidate and the Company through the Harpoon platform, and is subsequently hired by the Company, the latter shall proceed to paying the stipulated amount for hiring through the platform.

IV. Disclaimer

  1. The Candidate acknowledges and agrees that Harpoon does not guarantee or assume any responsibility for the concrete and effective hiring of Candidates registered on the platform.
  2. The Company acknowledges and agrees that Harpoon does not guarantee or assume liability for the accuracy of data, including but without exception, professional qualifications, work experience, or any other information that is provided by Candidates. The latter are solely responsible for the veracity and accuracy of any information or data that is provided.
  3. Harpoon merely aims to turn human resources recruitment into a more efficient process, and for this purpose provides access to an online platform that allows Candidates and Companies to find job offers and Candidates that best fit each other. It does not guarantee or assume any responsibility in hiring workers or employees.

V. Cost

  1. Signing up to the Harpoon platform is completely free for Companies.
  2. However, whenever the Company hires a Candidate through the Harpoon platform, the Company undertakes the payment of 10% Annual Gross Salary (base + variable) of the chosen candidate, with a minimum of €4,500 to Harpoon, plus the VAT rate in force, corresponding to the cost of using the services provided by Harpoon.
  3. The payment mentioned in the previous paragraph will only be due if the Candidate remains in the company for more than 30 days. In the event of the Candidate not staying in the Company during said period of 30 days, then there will not be any payment.
  4. The amount referred to in bullet point 2 of this Clause shall be paid by bank transfer to the IBAN 0010 0000 52841010001 80, and should be fulfilled within 10 days of the notification of any hired referred to in paragraph 6 of Section III B.

VI. Duration

  1. The relationship established between Harpoon and the Company has an indefinite duration.
  2. Notwithstanding the foregoing, a Company’s account may be freely canceled at any time.
  3. To do so, the Company must send an email to support@harpoon.jobs explicitly requesting the cancellation of their Harpoon account.
  4. Upon completion of the cancellation process, an email confirming the cancellation of the Company’s account will be sent, at which point the contractual relationship between Harpoon and the Company is considered terminated for all legal purposes.

VII. Intellectual Property and Copyright

  1. Companies who sign up to the Harpoon platform expressly acknowledge and accept that Harpoon is the exclusive owner of all intellectual property rights relating to the Harpoon platform’s software, including images, videos, graphics, and all elements of the Harpoon platform, and do not acquire any right over them by registering on the platform or arising from its use.
  2. Companies registered on the Harpoon platform recognize and accept that Harpoon is the exclusive owner of all rights and titles relating to the Harpoon trademarks, not acquiring any rights on them by registering on the platform or arising from its use.

VIII. Condition Changes

  1. Harpoon reserves the right to modify at any time, without prior notice, the presentation, the layout and/or the content of the Harpoon platform, as well as the wording of the General Terms and Conditions of Service, the Specific Conditions of Contracting of Services, and its Privacy Policy.
  2. In this event, Harpoon will provide all documents on its platform, containing their updated versions. They will be visible and available for online consultation.
  3. Users should carefully read these documents when accessing the Harpoon platform, and should consult them frequently.
  4. Reading and prior acceptance of the Specific Conditions of Contracting, General Terms and Conditions of Service, and Privacy Policy are essential for registering and subscribing to any services available on the Harpoon platform.

IX. Integrity

  1. The present STCS replace any other agreements or contracts, written or oral, that both parties might have made before and/or during the due course of the project.
  2. Any changes to the present STCS will have to be made by mutual written agreement between Harpoon and its Users.

X. Transfer of Rights and Subcontracting Obligations

  1. Users cannot assign and/or transfer the rights and obligations of the present STCS.
  2. Harpoon reserves the right of being able to assign and/or freely transfer, at any time and without authorization of its Users and/or professionals, the rights and obligations contained in the present STCS.
  3. Harpoon also reserves the right of being able to subcontract other natural or legal persons in order to fulfill their obligations under the present STCS.

XI. Communications

  1. All communications between Harpoon and Companies regarding the present STCS and/or joining the Harpoon platform, must be made in writing and in accordance with the notification procedures set out in these STCS.
  2. For all other cases not expressly covered in the STCS, all written communications should be sent via by email to the following email address: support@harpoon.jobs.

XII. Final Dispositions

  1. Partial Invalidity. If any clause of the present STCS is to be found invalid or revocable in its entirety or in part, or impossible to comply by law or by a third party conduct, the rest will remain in force.
  2. Failure to Exercise Rights. The failure to exercise, or late or partial exercise, of any right that assists Harpoon under the present STCS, no matter the resignation of that right and does not prevent its subsequent exercise.

XIII. Law and Jurisdiction

  1. Harpoon, as well as the Companies, will make their best efforts to find an amicable resolution regarding any doubt or dispute arising in connection with the implementation of the present STCS.
  2. If it is not possible to reach an amicable settlement of the conflict in accordance with the preceding paragraph, the questions concerning the interpretation, validity, execution or termination of the Agreement shall be decided by the District Court of Lisbon, with expressed waiver of any other.
